1. In General

By placing an order, the buyer accepts our General Terms and Conditions as binding. Any deviations are only binding for us if we have expressly acknowledged them in writing.

2. Offers

Offers are always subject to change. Orders are only considered as accepted if they have been acknowledge by us in writing.

3. Prices

All listed prices do not include VAT. If the production costs increase demonstrably in the period between the conclusion of the contract and the delivery, then we are entitled to charge a corresponding surcharge.

4. Payment Terms

For the first three deliveries advance payment is required. The subsequent orders must be paid within 30 days after receipt of the invoice without deductions, unless agreed otherwise. A payment is considered as received once the amount is irrevocably at our disposal. In case of delayed payments, we are entitled to charge, as of the payment due date, default interest at a rate that is 2 % higher than that of the checking account, plus additional default expenses.

5. Small Orders

A small order surcharge of SFR 15.00 is applied to orders below SFR 100.00.

6. Product Changes

We reserve the right to changes to the formal design as well as alterations serving the technical or medical progress.

7. Lieferfristen

The delivery period starts with the date of the order confirmation and usually lasts 10 days. The delivery has been made on time as soon as the goods have duly left our factory before expiry of the delivery period. The delivery period shall be extended by the period, during which the buyer is at default regarding his obligations from this or another contract. In case of advance payments, the delivery period starts as of the day they payment has been received.

Circumstances or events beyond our control, which make a delivery impossible or unreasonably impede a deliver, such as strike, lock-out, traffic or operational disturbances, raw material or energy shortages, war, etc., release us for the duration of the obstruction from the delivery obligation. If such obstruction is not expected to end within a reasonable timeframe, then we are entitled to withdraw from the contract completely or in part without obligations.

8. Delivery

Unless agreed otherwise, the buyer shall bear the delivery costs, whereas we reserve the right to decide on the type of delivery. As of the dispatch of the goods, the risk is transferred to the recipient, even if free shipping has been agreed. Our obligations have been fulfilled once the goods have been duly handed over to the carrier.

9. Returns

Goods delivered in accordance with the contract can neither be taken back nor exchanged. We are not obligated to refund, return or arrange for storage of goods that have been returned to us without previous authorization.

10. Complaints

Complaints can only be considered if they have been made in writing at the latest within 10 days after arrival of the goods at the location of the purchaser. If the buyer fails to report the defect in due form or time, the goods are considered to be accepted as free of defects. In case of founded complaints, we are only obligated to a replacement or free rectification of the defect. Shortfalls are delivered by us in addition.

11. Ownership

Until payment has been rendered in full, the delivered goods will remain our property.

12. Applicable Law and Venue

Swiss law shall apply. The registered office of the manufacturer shall be place of execution and venue.
